"TECHNICAL SPECIFICATIONS

Buyer shall purchase 10.000 MT Ferro Silicon Manganese which has been given the technical specifications in below according to the following terms and conditions for our need:

In case you consider our tender, please send your suitable offer with the best price according to the following Technical Specification via closed envelope. Tender closing date will be May 09, 2012 at 14:00 hours the latest. Please note that the offers received after that date will not be taken into consideration. The validity of bidder’s offers will be valid at least 17.00 hours on May 28, 2012.

QUANTITY: 10.000 MT Ferro Silicon Manganese (±10% in Buyer’s option)

MATERIAL: Silicon Manganese, as saying as follows:

Chemical properties:

Mn 68.00 % min.

Si 16.00 % min.

C 2.00 % max.

P 0.50 % max.

S 0.025 % max.

SIZE: 20-80 mm, the surface of material should be cleaned from slag, sand, and non-metallic impurities.

PACKING: In Bulk.

DELIVERY BASIS: CIF Zonguldak Port/Turkey at Buyer’s option.

(The draught of Vessel to be nominated must be 7 (seven) meter maximum)

ORIGIN: The origin is in Seller’s option. The origin of Ferro Silicon Manganese will be indicated in offers.

SHIPMENT: The ETA-Zonguldak Port of the vessels for the shipment of 10.000 MT Ferro Silicon Manganese will be as follows:

- The first shipment of 5.000 MT will be in the first half of June 2012.

- The second shipment of 5.000 MT will be in the first half of August 2012.

DISCHARGING

RATE : Discharging rate at Zonguldak Port is 1.000 MT pwwd of 24 consecutive hours sshex

WEIGHT

DETERMINATION :

1. The weight of Ferro Silicon Manganese shall be determined by marine draft survey method in accordance with the international practices and standards by international independent draft surveying companies at the loading port and surveying company which will be appointed by Buyer at the unloading port. The total tonnage of the Ferro Silicon Manganese will be clearly indicated on the weight certificate to be issued by the independent draft surveying company and this tonnage shall correspond to the tonnage shown on the clean Bill of Lading issued by the master of the carrying vessel or authorized agents. Both BUYER and SELLER have the right to designate a supervisor both at loading and unloading ports.

2. If the weight shown on the draft survey weight certificate at the unloading port is different than that of the loading port, the unloading port shall form the basis for payment. The international independent draft surveying company will be appointed by Buyer at the unloading port for weight determination.

SIZE/ANALYSIS: The international independent surveying company will be appointed by Buyer at the unloading port for analysis and samples. Sizing analysis report of surveying company which will be appointed by Buyer at the unloading port shall be final and binding for both parties. Seller will not have the right to object the sizing analysis report of Surveying Company at the unloading. If Seller objects the chemical analysis, the second chemical analysis will be performed at MTA ANKARA Laboratory. The result of this chemical analysis shall be final and binding for both parties.

Size and Tolerances :

Material size will be between 20 and 80 mm.

PENALTIES: Chemical analysis:

Mn: A penalty of 1,5% of the CIF/MT price will be applied for each 1% of Mn content 68% down to 60%, fractions pro rata.

If Mn content is found to be lower than 60%, Buyer has the right to reject the material.

Si: A penalty of 5% of the CIF/MT price will be applied for each 1% of Si content below 16% down to 14%, fractions pro rata.

If Si content is found to be lower than 14%, Buyer has the right to reject the material.

C: A penalty of 10% of the CIF/MT price will be applied for each 1% of C content between the range of 2% and 4%, fractions pro rata.

If C content is found to be higher than 4%, Buyer has the right to reject the material.

P: A penalty of 0,2% of the CIF/MT price will be applied for each 0,01% increase of P content above 0,50% maximum.

If P content is found to be higher than 0,60%, Buyer has the right to reject the material.

S: A penalty of 1% of the CIF/MT price will be applied for each 0,001% increase of S content above 0,025% maximum.

If S content is found to be higher than 0,030%, Buyer has the right to reject the material.

Total components below 20 mm will not be applied up to 5% of total quantity. A penalty of 0,5% of total quantity will be applied for each 1% increase between the range of 5% (5% excluded) and 10% (10% included). No payment will be made for materials over 10% (10% excluded).

Total components over 80 mm will not be applied up to 5% of total quantity. A penalty of 0,5% of total quantity will be applied for each 1% increase between the range of 5% (5% excluded) and 10% (10% included). No payment will be made for materials over 10% (10% excluded).

PAYMENT: Cash against documents (CAD) by means of telegraphic transfer in USD covering 100% of invoice value against presentation of the following shipping documents.

1) Seller's Commercial Invoice, in 3-fold

2) Full set of original Clean on Board Ocean Bills of Lading

3) Certificate of Origin

4) Certificate of Quality

5) Analysis Certificate: To be issued by internationally recognized independent Surveying Company at unloading port.

6) Weight Certificate: To be issued by internationally recognized independent Surveying Company at unloading port.

7) ATR for European country or Form A Certificate for CIS country

BID BOND: The bidders shall present a BID BOND amount of % 3 offer price with their offer. Otherwise the offers will not be evaluated.

PERFORMANCE

BOND: 6 % of the total amount must be sent by the Seller to the Buyer as performance bond.

DEMURRAGE

DESPATCH/

DISCHARGE RATE: As per respective vessel nomination.

FORCE

MAJEURE: Following cases will be considered force majeure for both parties and such time during which such cases prevail will be added to the delivery time of contractual material;

- Government bans

- Strikes

- War and mobilization

- Rebellion

- Such natural disasters as fire, flood, earthquake

- Epidemics

No change will be made in prices due to the occurrence of force majeure.

Seller, in 5 days from the occurrence of force majeure, will notify Buyer by telefax and will send the certificates confirming such force majeure as issued by the Local Chamber of Commerce and Industry and attested by the Turkish Consulate to Buyer as soon as possible. Otherwise, such a force majeure condition will not be considered and no request for validity extension will be accepted.

ARBITRATION: All disputes arising out of or in connection with the contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

Place of arbitration shall be Zurich, Switzerland.

The language of the proceedings shall be in English language

The documents signed by both parties by fax are valid."
